1. Acceptance of Terms

By creating an account, submitting a tool, completing a checkout, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, you must stop using the Service immediately.

You agree that these Terms are enforceable like any written contract signed by you, and you waive any defense based on "clickwrap" or electronic assent not being a binding signature.

2. Eligibility

You must be at least 18 years old (or the age of digital consent in your jurisdiction) and legally able to enter contracts. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, in which case "you" refers to that company.

You are not eligible if you are a competitor operating a substantially similar directory product or if you have previously been banned from the Service.

3. Service Description

YourAIToolShop is a curated discovery directory for AI tools, niche software, and SaaS products. The Service includes:

• Directory browsing — free read-only access to tool profiles, niche filters, and comparison data.
• Founder submissions — tool owners can submit candidate tools for editorial review.
• Paid placements & listings — featured tiers, sponsored slots, and newsletter mentions.
• Lead generation — inbound contact forms for buyers, founders, and partners.
• Recommendations — workflow-based matching, intent capture, and follow-up outreach.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee uninterrupted availability.

4. Accounts & Security

Some features require an account. You agree to provide accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account.

Notify us immediately at admin@bookaistudio.com if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your credentials.

We reserve the right to suspend or terminate accounts that contain false information, have been compromised, or are being used in violation of these Terms.

5. Founder Listings, Submissions & Editorial Review

By submitting a tool, link, or related content ("Submission"), you grant Book AI Studio a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to host, index, display, modify for formatting, summarize, translate, and distribute the Submission across the Service and our promotional channels (including newsletters, social, partner syndication, and AI-powered recommendation surfaces).

Editorial Standards

We review each Submission for accuracy, safety, and compliance with our policies. Approval is at our sole discretion. We may reject, edit, or remove any Submission at any time, including after publication, if it violates these Terms or our quality guidelines.

Your Warranties

You represent and warrant that:

• You own the Submission or have all rights needed to grant the license above.
• The tool described is real, functional, and not primarily deceptive, malware, or a get-rich-quick scheme.
• The Submission does not infringe any third-party rights, including IP, publicity, or privacy.
• All pricing, free-tier, and affiliate disclosures are accurate and current.

Removal Requests

If you want a Submission removed, email admin@bookaistudio.com with proof of ownership. We will action verified removal within 30 days. Removal does not affect previously delivered promotional benefits.

6. Payments, Subscriptions & Renewals

Paid plans are billed in advance on a recurring basis (monthly or annual) via Stripe checkout. By purchasing, you authorize us to charge your payment method on each renewal date until you cancel.

Pricing & Tax

Displayed prices exclude applicable sales tax, VAT, or GST unless explicitly stated. You are responsible for any taxes required by your jurisdiction.

Auto-Renewal

Subscriptions auto-renew at the then-current rate unless canceled at least 24 hours before the renewal date. We will notify you of any material price change at least 30 days in advance.

Failed Payments

If a charge fails, we may retry, suspend the associated listing, or terminate the subscription after 14 days of non-payment.

7. Intellectual Property

The Service, including its design, code, branding, logos, copy, and generated reports, is owned by Book AI Studio (DBA BrightSpan Holdings LLC) and protected by US and international IP laws.

You may not copy, scrape, redistribute, resell, or create derivative works of the Service or its content without written permission, except as permitted by fair-use principles (e.g., brief quotation with attribution).

"YourAIToolShop", "Book AI Studio", and our logos are trademarks of BrightSpan Holdings LLC. You may not use them without prior written consent.

8. User Content & DMCA

You retain ownership of content you submit, subject to the license you grant us above. You are solely responsible for your content and the consequences of posting it.

DMCA Notice

If you believe content on YourAIToolShop infringes your copyright, send a DMCA notice to admin@bookaistudio.com including:

• Identification of the copyrighted work claimed to be infringed.
• The URL or location of the infringing material on our Service.
• Your contact information (name, address, phone, email).
• A statement of good-faith belief that the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act for the owner.
• Your physical or electronic signature.

We will process valid notices within 5–10 business days and may remove or disable access to the allegedly infringing material.

Counter-Notice

If your content was removed under DMCA and you believe it was a mistake, you may submit a counter-notice meeting the requirements of 17 U.S.C. § 512(g).

9. Prohibited Use

You agree not to:

• Submit false, misleading, defamatory, or fraudulent content.
• Use bots, scrapers, or automated means to access the Service except as permitted by our public API or robots.txt.
• Interfere with the Service's security features, rate limits, or access controls.
• Reverse-engineer, decompile, or attempt to derive source code from the Service (except as permitted by open-source licenses that apply to specific components).
• Use the Service to harass, threaten, or harm any person, or to violate any law.
• Upload or transmit viruses, malware, ransomware, or any malicious code.
• Circumvent, disable, or otherwise interfere with security-related features.
• Resell, sublicense, or white-label the Service without our written permission.
• Use the Service to build a competing directory or to train AI models on our content without permission.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF CONTENT.

We do not warrant that the Service will be uninterrupted, secure, error-free, or free of viruses. We do not warrant the accuracy, completeness, or usefulness of any directory listing, niche classification, or recommendation. Third-party tools listed in the directory are operated by independent providers; we do not endorse, guarantee, or assume responsibility for their performance, claims, billing, privacy practices, or terms.

Rankings, "best of" lists, niche match scores, and editorial scores reflect our subjective editorial judgment and are not objective benchmarks. Inclusion in the directory is not an endorsement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOK AI STUDIO, BRIGHTSPAN HOLDINGS LLC, AND THEIR OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

Some jurisdictions do not allow the limitation of certain damages; in those cases the limitations above apply to the maximum extent permitted.

12. Indemnification

You agree to defend, indemnify, and hold harmless Book AI Studio, BrightSpan Holdings LLC, and their officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your Submissions, (c) your violation of these Terms, or (d) your violation of any third-party right.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your license to use the Service ends immediately.
• We may delete your account data, Submissions, and cached content, subject to our retention obligations in the Privacy Policy.
• Sections that by their nature should survive (including IP, disclaimers, liability limits, indemnification, dispute resolution) will survive termination.

You may terminate your account at any time via your account settings or by emailing admin@bookaistudio.com.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.

Informal Resolution

Before filing any claim, you agree to contact us at admin@bookaistudio.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration

If the dispute is not resolved informally, you and we agree to resolve any claim through binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Wilmington, Delaware, in English. You waive the right to participate in any class, collective, or representative action.

Exceptions

Either party may seek injunctive relief in court to protect intellectual property or confidential information. Small-claims court matters remain eligible for small-claims court.

Time Limit

Any claim must be filed within one (1) year after the claim arose, or it is permanently barred.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" at the top. For material changes, we will provide at least 30 days' notice by email or by an in-app banner. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may close your account.
